Kelso Place Asset Management is a unique fund manager established in 2000. It makes long term investments in UK-based businesses that require additional resources to grow or that are financially, operationally or strategically challenged.

Kelso Place acquires businesses whose full potential is not being achieved. This may be caused by operational underperformance, by a distressed situation (for example, cashflow shortage, over-leverage or insolvency) or by neglect from being deemed non-core within a larger group of companies.

Currently Kelso Place is investing its fourth fund, the £100 million Kelso Place Special Situations Fund. Kelso is authorised and regulated by the Financial Services Authority.

Investment Criteria

The Special Situations Fund invests between £1 million and £20 million in businesses which typically:

  • are in any sector
  • are based in the UK
  • have run-rate annual revenues of at least £10 million
  • are not performing to their full potential
  • have sound underlying businesses
  • are capable of organic growth and cash generation

Special situations include:

  • turnarounds
  • financial restructurings
  • insolvent businesses
  • distressed businesses and
  • non-core subsidiaries

Turnaround Skills

The Kelso Place team includes eight professionals who between them have a broad range of investment, operational and financial management skills. Its committed funds, diverse skill set and transactional experience allow Kelso Place to evaluate and complete acquisitions extremely rapidly and to be creative in the approach to new opportunities.

Examples of Investments

Kelso Place has purchased a number of businesses out of insolvency and has a track record of successfully growing those businesses over a number of years before exiting. Examples include financial recruitment firm Nigel Lynn Associates; Sepura, a global supplier of TETRA radio terminals; and i2S Group, a building technology business. Current investments include Driving Results, trading as RED, a driving instructor training business and driver training school.

Kelso Place has also invested in a number of non-core subsidiaries including M86 Security, a global provider of E-mail and Internet security products and MDNX, a managed networks and hosting services provider.
